Merger dan akuisisi lintas batas (cross-border M&A) merupakan fenomena strategis yang semakin dominan dalam lanskap bisnis global sebagai konsekuensi dari globalisasi ekonomi dan liberalisasi perdagangan. Artikel ini bertujuan untuk menganalisis dimensi hukum yang melingkupi praktik merger dan akuisisi internasional, khususnya terkait kompleksitas regulasi, harmonisasi hukum, serta tantangan yurisdiksi yang muncul akibat perbedaan sistem hukum antar negara. Penelitian ini menggunakan pendekatan yuridis normatif dengan analisis komparatif terhadap berbagai kerangka hukum internasional dan nasional. Hasil penelitian menunjukkan bahwa meskipun M&A memberikan efisiensi ekonomi dan akses pasar global, perbedaan regulasi, risiko politik, serta keterbatasan koordinasi antar otoritas kompetisi menjadi hambatan utama. Oleh karena itu, diperlukan penguatan kerja sama internasional dan harmonisasi hukum guna menciptakan kepastian hukum dalam transaksi bisnis lintas batas.
