Abstract

Penelitian ini bertujuan untuk menganalisis efektivitas legal drafting dalam mewujudkan kepastian hukum dan meminimalisasi risiko sengketa kontrak di Indonesia. Dengan menggunakan metode penelitian yuridis normatif, kajian ini menelaah hubungan antara kualitas perumusan kontrak dengan potensi timbulnya sengketa. Hasil penelitian menunjukkan bahwa legal drafting yang baik mampu mencegah perbedaan tafsir antar-pihak, terutama melalui penyusunan klausul penyelesaian sengketa, klausul force majeure, dan klausul ganti rugi yang terstruktur. Selain itu, efektivitas legal drafting berperan besar dalam menjamin kepastian hukum karena kontrak yang dirancang dengan prinsip kehati-hatian akan memperkuat posisi hukum para pihak dan meminimalkan ketidakpastian.
